Terms of Service

1. Agreement

These Terms of Service are an agreement between you and Dialect Agency Inc. DBA Super Simple. By downloading, accessing, purchasing, subscribing to, or using a Super Simple product or service, including Egg, you agree to these terms and our Privacy Policy. If you do not agree, do not use the applicable product or service.

You must be at least 13 and legally capable of entering this agreement. If you use a product for an organization, you represent that you have authority to bind that organization.

2. License and use

Our apps are licensed, not sold. Subject to these terms, applicable app-store rules, and any active purchase or subscription, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the product on supported devices for lawful purposes.

Apps distributed through Apple are also subject to Apple’s Standard Licensed Application End User License Agreement. Other distribution platforms may impose their own mandatory terms. Those platform terms control to the extent they are legally required or directly conflict with these terms.

3. Your account

Egg requires an account. You are responsible for the accuracy of your account details, for keeping your credentials and devices secure, and for activity under your account. We recommend enabling two-factor authentication or a passkey. Tell us promptly if you believe your account has been compromised.

4. Security and recovery

Egg uses HTTPS for data in transit and encrypted storage for data at rest. Keep your account password and recovery codes safe, and use the account recovery options on the sign-in screen if you lose access.

5. Plans, purchases, and limits

The free plan caps the number of notes you may create. Reaching that cap prevents new notes only. Notes you have already written stay readable, searchable, and exportable regardless of plan or payment status. Paid plans add capacity and features as described at purchase.

Prices, trial terms, renewal periods, taxes, storage allowances, and payment details shown at checkout control your purchase. Subscriptions renew automatically when disclosed at purchase unless canceled through the relevant app store or payment provider before renewal. Deleting an app does not cancel a subscription. Refunds and billing disputes are handled under the rules of the store or payment provider and applicable law.

6. Your content

You retain your rights in content you create, import, or connect. You grant us only the limited rights needed to store, transmit, and process it to operate the features you request. We do not use your content to train models and we do not review it except where you ask us to, or where we are legally required to.

You are responsible for your content, its accuracy, your right to store it, and your own backups. Export is available at any time and we encourage you to use it.

7. Import, export, and third-party sources

Import tools read files you supply from other applications. You are responsible for having the right to those files. Import verifies what it writes and reports the result, but source formats vary and we do not warrant that every element of an arbitrary export will survive a conversion. Third-party names and marks belong to their owners and do not imply affiliation or sponsorship.

8. Connected assistants

You may authorize an AI assistant or other client to access your account through our connector. Doing so is your decision and is made on an approval screen that describes the access being granted. You are responsible for what you connect and for what it does within your account. You can revoke any connection at any time from your settings, and we may refuse or revoke a connection that threatens the security or availability of the service.

9. Acceptable use

You may not:

• Use a product unlawfully or to violate another person’s rights.
• Access accounts, devices, systems, or data without authorization.
• Interfere with security, availability, rate limits, or normal operation.
• Use the service as general-purpose file hosting or a content distribution network.
• Introduce malicious code, automate abusive traffic, or attempt to bypass access or payment controls.
• Reverse engineer or redistribute a product except where applicable law expressly permits it.

10. Third-party services

The product interoperates with app stores, operating systems, hosting and storage providers, payment providers, error- and performance-monitoring services, and embedded media players we do not control. Their terms and privacy practices apply to their services. Changes, outages, or restrictions imposed by a third party may affect availability or require us to modify an integration.

11. Ownership and feedback

Super Simple products, software, websites, branding, design, and documentation are owned by Dialect Agency Inc. or its licensors and are protected by intellectual-property laws. No rights are granted except those expressly stated in these terms. If you provide feedback, you permit us to use it without restriction or compensation, while we remain responsible for our own implementation.

12. Changes and availability

We may update, add, remove, suspend, or discontinue features or products. We aim to communicate material changes when reasonable, but uninterrupted, error-free, or permanently available service is not guaranteed. If we ever discontinue Egg, your export remains the way you leave with everything you put in.

13. Disclaimers

To the maximum extent permitted by law, products and services are provided “as is” and “as available.” We disclaim warranties not expressly required by law, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Super Simple products are not emergency, medical, legal, financial, or identity-verification services, and are not a substitute for your own backup of information you cannot afford to lose.

Nothing in these terms limits warranties or consumer rights that cannot lawfully be excluded.

14. Limitation of liability

To the maximum extent permitted by law, Dialect Agency Inc. and its directors, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, profits, revenue, goodwill, or business opportunity arising from a product or these terms. Our aggregate liability will not exceed the greater of the amount you paid for the applicable product in the 12 months before the event giving rise to the claim or the minimum amount required by applicable law.

15. Indemnity

To the extent permitted by law, you agree to defend and indemnify Dialect Agency Inc. from third-party claims, damages, and reasonable costs arising from your unlawful misuse of a product, violation of these terms, or violation of another person’s rights. This obligation does not apply where prohibited by consumer law.

16. Suspension and termination

You may stop using a product at any time and delete your account from settings. We may suspend or terminate access when reasonably necessary to address unlawful use, fraud, security threats, material breach, nonpayment, or discontinuation. Except where we are legally prevented, we will give you a reasonable opportunity to export your content before terminating an account for a reason other than abuse. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, liability limits, indemnity, and governing law.

17. Governing law

These terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where the law of your residence or another mandatory consumer law applies. Subject to those mandatory rights, disputes may be brought in the state or federal courts with jurisdiction in Albany County, New York. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

18. Changes to these terms

We may update these terms to reflect product, business, or legal changes. We will post the updated terms and revise the effective date. We will provide additional notice or request consent when required by law.
